CompUSA TO BUY GOOD GUYS

ALAMEDA - Consumer electronics chain Good Guys Inc. has been acquired by rival CompUSA in a deal with an indicated value of about $55.6 million.

CompUSA, a Dallas, Texas-based retailer and reseller of technology products and services, said the proposed acquisition fits into its long-term strategy to expand its "merchandise mix to include the latest entertainment technology."

Good Guys currently operates 71 stores throughout California, Nevada, Oregon and Washington. It will become a wholly owned subsidiary of CompUSA and will continue to operate under the Good Guys name, the electronics chain said.

CompUSA also said it will invest $5 million in the electronics chain in the form of a two-year unsecured convertible promissory note.

The company said the deal will be funded by cash available at U.S. Commercia Ltda., its Mexico-based parent company, assuming the deal receives regulatory and shareholder approvals.
